TERMS OF SERVICE

These Terms of Service govern your access to and use of the Sedensia Corporate Housing platform operated by Sedensia LLC. By creating an account or using the service, you agree to be bound by these terms. If you do not agree, do not use the service.

Sedensia provides corporate housing management and payment services, including housing assignment, rent and deposit collection by ACH, invoicing, late fee assessment, landlord disbursement and monthly reconciliation reporting.

By opting in to SMS notifications, you agree to receive payment reminders, payment failure alerts, late fee notifications, housing service updates, cleaning notifications and delivery updates sent via an autodialer from Sedensia at the phone number you provide.

This agreement is not a condition of any purchase or use of the service. Message frequency: approximately 4 messages per month. Message frequency may vary. Message and data rates may apply. Text STOP to unsubscribe and HELP for help.

Account Registration

Certain features require an account. You agree to:

• Provide accurate, current and complete information
• Maintain and update that information as needed
• Keep your password secure and confidential
• Notify us immediately of any unauthorised access
• Accept responsibility for all activity under your account

Account Termination

We reserve the right to suspend or terminate your account at any time for breach of these terms, fraudulent activity, or any other reason we consider necessary to protect the service or its users.

Authorization Terms

By setting up ACH payments, you agree that:

• We may debit your account on the scheduled payment dates
• Payment amounts are determined by your housing assignment and any applicable fees
• Standard payments are collected weekly on Mondays, subject to the five-Monday rule below
• Late fees may be assessed and collected under the fee policy
• This authorisation remains in effect until you revoke it in writing

Payment Schedule

• Weekly payments: collected every Monday
• Five-Monday rule: in months containing five Mondays, the last Monday is skipped
• Processing time: ACH transfers typically take three to five business days

Failed Payments

If a payment fails due to insufficient funds, a closed account or any other reason:

• We will retry the payment up to three times
• Late fees may be assessed after the grace period
• You remain responsible for maintaining sufficient funds

Revocation of Authorization

You may revoke this authorisation by contacting billing@sedensia.com at least three business days before the next scheduled payment date. Revoking ACH authorisation does not affect your payment obligations under your housing agreement.

Payments not received by the due date are subject to late fees:

• Initial late fee: $75 after the grace period
• Daily late fee: $10 for each day of continued delinquency
• Maximum: $200 per payment period

Late fees are assessed automatically and collected with the next scheduled payment or as a separate transaction.

Payment Disputes

If you believe a payment was processed in error:

• Contact billing@sedensia.com within 60 days of the transaction
• Provide the transaction details and the reason for the dispute
• We will investigate and respond within 10 business days

Approved refunds are returned to the same bank account the payment was drawn from.

You may not use the service for any of the following:

• Providing false or misleading information
• Attempting unauthorised access to the service or another account
• Interfering with or disrupting the service
• Any unlawful purpose
• Transmitting viruses, malware or other harmful code
• Reverse engineering or decompiling the service
• Automated access without our permission

The service and its original content, features and functionality are owned by Sedensia LLC and protected by copyright, trademark and other intellectual property laws. You may not copy, modify, distribute or create derivative works based on the service without our express written permission.

The service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or reliability of information
• Uninterrupted or error-free operation

To the maximum extent permitted by law, Sedensia LLC shall not be liable for any indirect, incidental, special, consequential or punitive damages arising from your use of the service.

You agree to indemnify and hold harmless Sedensia LLC from any claims, damages, losses or expenses arising from your use of the service or your breach of these terms.

These terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising from these terms shall be resolved in the courts located in the State of Texas.

We may modify these terms at any time. If we make material changes we will post the updated terms on this page and revise the "last updated" date above. Continued use of the service after a change constitutes acceptance of the new terms.

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary and the remaining provisions shall remain in full force and effect.
